Terms of Service

Effective from January 2026

By accessing and using Proposall, you confirm that you are in agreement with and bound by these Terms of Service. These terms apply to the entire website, application, and any email or other type of communication between you and Proposall.

1. Definitions and Key Terms

To help explain things as clearly as possible, the following terms are strictly defined as:

  • Service: The Proposall software-as-a-service platform, including all features, functionalities, websites, applications, and content
  • Website: Proposall's site and application, accessible via proposall.xyz
  • Licensor: Niek van der Voort, the developer and copyright owner of Proposall
  • You/Your: A person or entity that is registered with Proposall to use the Service, or any individual accessing the Service
  • User Content: Any content, data, proposals, documents, or materials uploaded or created by you within the Service
  • Consumer: A natural person acting for purposes outside their trade, business, craft, or profession
  • Business User: A natural or legal person acting in the exercise of a trade, business, craft, or profession
  • Subscription: A paid plan granting access to the Service for a specified period
  • Device: Any internet-connected device such as a phone, tablet, computer, or any other device that can be used to access Proposall
  • Cookie: A small amount of data generated by the website and saved by your web browser, used to identify your browser and remember information about you
  • Third-Party Service: Refers to external services, advertisers, partners, and others who provide content or services integrated with or linked from Proposall
  • Derivative Works: Any work based on or derived from the Proposall software that represents an original work of authorship
  • Source Form: The preferred form for making modifications, including software source code, documentation source, and configuration files
  • Object Form: Any form resulting from mechanical transformation of a Source form, including compiled code and generated documentation

2. General Terms

By accessing and placing an order with Proposall, you confirm that you are in agreement with and bound by these Terms of Service.

Under no circumstances shall Niek van der Voort be liable for any direct, indirect, special, incidental, or consequential damages, including, but not limited to, loss of data or profit, arising out of the use, or the inability to use, the Service, even if we or an authorised representative has been advised of the possibility of such damages.

We reserve the right to change prices and revise the Service usage policy at any moment, subject to the notice provisions in these terms.

The applicability of Articles 6:227b(1) and 6:227c of the Dutch Civil Code relating to e-commerce transactions is expressly excluded where you act in the exercise of a profession or business.

Any deviating terms and conditions from you are expressly rejected and shall not apply unless explicitly accepted by us in writing.

The Proposall software is licensed under the Apache License, Version 2.0.

3.1 What This License Allows You To Do

Subject to the terms and conditions of this license, we grant you a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable license to:

  • Reproduce the software
  • Prepare Derivative Works based on the software
  • Publicly display the software
  • Publicly perform the software
  • Sublicense the software
  • Distribute the software and Derivative Works in Source or Object form

3.2 Patent License

Subject to the terms and conditions of this license, we grant you a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer the software, where such license applies only to patent claims that are necessarily infringed by the software.

Important: If you institute patent litigation against any entity alleging that the software constitutes patent infringement, any patent licenses granted to you under this license shall terminate as of the date such litigation is filed.

3.3 Redistribution Conditions

You may reproduce and distribute copies of the software or Derivative Works in any medium, with or without modifications, provided that you meet all of the following conditions:

  1. Provide the License: You must give any other recipients of the software or Derivative Works a copy of this license
  2. Notice of Changes: You must cause any modified files to carry prominent notices stating that you changed the files
  3. Retain Attribution: You must retain, in the Source form of any Derivative Works that you distribute, all copyright, patent, trademark, and attribution notices from the Source form of the original software
  4. NOTICE File: If the software includes a NOTICE file, any Derivative Works you distribute must include a readable copy of the attribution notices contained within such NOTICE file
  5. Your Own Terms: You may add your own copyright statement to your modifications and may provide additional or different license terms for your modifications or Derivative Works, provided your use of the original software complies with this license

3.4 Contributions

Unless you explicitly state otherwise, any contribution intentionally submitted by you for inclusion in the software shall be under the terms of this license, without any additional terms or conditions.

3.5 Trademarks

This license does not grant permission to use the trade names, trademarks, service marks, or product names of Proposall or Niek van der Voort, except as required for reasonable and customary use in describing the origin of the software.

3.6 Disclaimer of Warranty

The software is provided on an "AS IS" basis, without warranties or conditions of any kind, either express or implied, including, without limitation, any warranties or conditions of:

  • Title
  • Non-infringement
  • Merchantability
  • Fitness for a particular purpose

You are solely responsible for determining the appropriateness of using or redistributing the software and assume any risks associated with your exercise of permissions under this license.

3.7 Limitation of Liability Under the License

In no event and under no legal theory, whether in tort (including negligence), contract, or otherwise, unless required by applicable law or agreed to in writing, shall we be liable to you for damages, including any direct, indirect, special, incidental, or consequential damages arising as a result of this license or out of the use or inability to use the software, including but not limited to damages for:

  • Loss of goodwill
  • Work stoppage
  • Computer failure or malfunction
  • Any and all other commercial damages or losses

This applies even if we have been advised of the possibility of such damages.

3.8 Additional Warranty or Liability

While redistributing the software or Derivative Works, you may choose to offer, and charge a fee for, acceptance of support, warranty, indemnity, or other liability obligations. However, in accepting such obligations, you may act only on your own behalf and on your sole responsibility, not on behalf of Niek van der Voort, and only if you agree to indemnify, defend, and hold us harmless for any liability incurred by, or claims asserted against, us by reason of your accepting any such warranty or additional liability.

4. Service License and Restrictions

4.1 Service License

In addition to the Apache 2.0 license for the software, we grant you a revocable, non-exclusive, non-transferable, limited license to access and use the Proposall Service strictly in accordance with these Terms of Service.

4.2 Restrictions

You agree not to, and you will not permit others to:

  • License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the Service in a manner not permitted by these terms
  • Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of Proposall or Niek van der Voort
  • Use the Service to build a competing product or service
  • Use automated scripts to collect information from or otherwise interact with the Service without our permission
  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations

5. Subscriptions and Pricing

5.1 Subscription Plans

Access to certain features of Proposall is provided through subscription plans. The available plans, features, and pricing are displayed on our website. By purchasing a subscription, you agree to pay the applicable fees.

5.2 Price Changes

Prices may be adjusted from time to time. If market conditions (such as inflation or other cost increases) give reason to do so, we may increase applicable rates once per calendar year. We will inform you of any price increase at least 30 days in advance. If you do not agree to the new pricing, you may cancel your subscription before the new pricing takes effect.

5.3 Quotations and Offers

All quotations and offers are without obligation unless explicitly stated otherwise. A subscription agreement is concluded when we confirm your order or when you gain access to the Service.

6. Payment Terms

6.1 Payment Due Date

For Business Users, invoices are due within 14 days of the invoice date, unless otherwise agreed in writing. For Consumers, payment is due at the time of purchase.

6.2 Payment Methods

Payment must be made via the payment methods offered on our website. All payments must be made in the currency specified.

6.3 Late Payment

If payment is not received by the due date:

  • For Business Users: You will be in default without further notice. We are entitled to charge statutory commercial interest (Article 6:119a Dutch Civil Code) from the due date, plus reasonable collection costs.
  • For Consumers: We will send a payment reminder. If payment is not received within 14 days of the reminder, statutory interest (Article 6:119 Dutch Civil Code) will be charged, plus reasonable collection costs after a final demand.

6.4 Suspension

We reserve the right to suspend access to the Service if payment is overdue. Suspension does not release you from your payment obligations.

7. Refund Policy

We are committed to providing our customers with satisfaction. If you are not satisfied with your purchase:

  • Consumers: You have the right of withdrawal as described in Section 8
  • Business Users: Refunds are provided at our sole discretion. To request a refund, please contact us with your account email address and reason for the refund

No refunds will be provided for:

  • Subscriptions cancelled after the refund period
  • Partial months of service
  • Accounts terminated for violation of these terms

8. Right of Withdrawal (Consumers Only)

8.1 Cancellation Period

If you are a Consumer, you have the right to withdraw from your purchase within 14 days without giving any reason. This cancellation period expires 14 days after the day on which the contract is concluded.

8.2 How to Exercise the Right of Withdrawal

To exercise your right of withdrawal, you must inform us of your decision to withdraw by means of an unambiguous statement (for example, a letter sent by post or email). You may use the model withdrawal form in the Appendix, but this is not obligatory.

To meet the withdrawal deadline, it is sufficient for you to send your communication before the cancellation period has expired.

8.3 Effects of Withdrawal

If you withdraw from the contract, we will reimburse all payments received from you without undue delay and in any event no later than 14 days from the day on which we are informed of your decision to withdraw.

8.4 Exception: Digital Content

If you have requested that the performance of the Service begins during the withdrawal period, you acknowledge that you will lose your right of withdrawal once the Service has been fully performed. For digital content not supplied on a tangible medium, you agree that performance begins immediately upon purchase, and you acknowledge losing your right of withdrawal.

8.5 No Right of Withdrawal for Business Users

The statutory right of withdrawal does not apply to Business Users.

9. Cancellation

You may cancel your subscription at any time by:

  • Using the cancellation option in your account dashboard
  • Contacting us and requesting cancellation

After you cancel your subscription, you will continue to have access to the Service until your current billing period ends. No refunds will be provided for the remaining period of a subscription already paid for, except as required by law or as set out in these terms.

10. User Content

10.1 Your Ownership

You retain all rights to the content you create using Proposall. We do not claim any ownership rights over your User Content.

10.2 License to Us

By using Proposall, you grant us a limited license to host, store, back up, and display your User Content solely for the purpose of providing the Service to you. This license terminates when you delete your User Content or close your account.

10.3 Your Responsibilities

You are solely responsible for your User Content and ensuring that it:

  • Does not infringe upon the rights of any third party
  • Does not violate any applicable laws
  • Does not contain malicious code or harmful content

10.4 Retention of User Content

Upon termination of your subscription, your User Content will be retained for 30 days, during which you may export your data. After this period, we reserve the right to delete your User Content permanently.

11. Your Suggestions and Feedback

Any feedback, comments, ideas, improvements, or suggestions (collectively, "Suggestions") provided by you to us with respect to the Service shall remain our sole and exclusive property. We shall be free to use, copy, modify, publish, or redistribute the Suggestions for any purpose and in any way without any credit or compensation to you.

12. Service Availability and Updates

We strive to ensure the Service is available but do not guarantee uninterrupted availability. We reserve the right to perform maintenance, updates, or modifications that may temporarily affect availability. We may from time to time provide enhancements or improvements to the features and functionality of the Service. We reserve the right to modify, suspend, or discontinue, temporarily or permanently, the Service or any part thereof.

13. Third-Party Services

Proposall may use software, artificial intelligence, and other digital services offered by third parties. The Service may contain links to other websites not operated or controlled by us. We are not responsible for the content, accuracy, or opinions expressed on such websites. We are not liable for any damage that is directly or indirectly the result of the use of third-party services.

14. Cookies

Proposall uses cookies to identify areas of our website that you have visited and to personalise your experience. For detailed information about our use of cookies, please refer to our Privacy Statement.

15. Limitation of Liability

The Service is provided "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our entire liability under any provision of these terms shall be limited to the amount actually paid by you for the Service in the 12 months preceding the event giving rise to the claim.

16. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, cyberattacks, or interruptions to internet or power supply.

17. Indemnification

You agree to indemnify, defend, and hold harmless Niek van der Voort from and against any and all claims, damages, losses, liabilities, costs, and expenses arising out of or related to your use of the Service, your User Content, your violation of these Terms of Service, or your violation of any rights of any third party.

18. Term and Termination

These Terms of Service shall remain in effect until terminated by you or by us. We may, in our sole discretion, at any time and for any or no reason, suspend or terminate these terms and your access to the Service. You may terminate these terms by deleting your account and ceasing all use of the Service.

19. Intellectual Property

Subject to the Apache 2.0 license granted in Section 3, all intellectual property rights in the Service are owned by or licensed to us. The Proposall name, logo, and related trademarks are not licensed under the Apache 2.0 license.

20. Privacy

We process personal data of users in accordance with applicable data protection laws. For a detailed description of how we process personal data, please refer to our Privacy Policy.

21. Governing Law and Jurisdiction

These Terms of Service and any legal relationship between us and you are governed by Dutch law. All disputes are subject to the exclusive jurisdiction of the Court of Amsterdam in the first instance. For Consumers residing in the European Union, this choice of jurisdiction does not affect any mandatory consumer protection laws of your country of residence.

22. Dispute Resolution

If you have a complaint about the Service, please contact us. We will acknowledge your complaint within 5 business days and endeavour to resolve it within 30 days. For Consumers in the EU, you may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr/

23. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms of Service at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

24-27. Additional Provisions

Severability: If any provision of these terms is held to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: The failure to exercise a right shall not affect a party's ability to exercise such right at any time thereafter.

Entire Agreement: These Terms of Service, together with our Privacy Statement, constitute the entire agreement between you and us regarding the Service.

Assignment: You may not assign or transfer your rights or obligations under these terms without our prior written consent.
